The Serie B 1939–40 was the eleventh tournament of this competition played in Italy since its creation.
Teams
Brescia, Udinese, Molinella and Catania had been promoted from Serie C, while Livorno and Lucchese had been relegated from Serie A.

- ↑ Palermo was unable to retain their professional status in summer 1940 and the FIGC disbanded the first team. The club continued in the Sicilian Championship with its reserve amatorial team, then it merged with city-mate Juventina to return in Serie C in 1941.
The FIGC then fastly decided with its fascist powers that Molinella was too poor to be restored in B.
